LEGAL COMPLIANCE & SAAS AGREEMENT

Terms of Service (Terms of Use)

Effective Date: August 21, 2026 • Version 2.5.0 • Applicability: Zoom App Marketplace & Enterprise SaaS

1. Acceptance of Terms & Institutional Authority

By connecting your Zoom Pro, Business, or Enterprise account, authorizing the ClassMind AI application via the Zoom App Marketplace, or utilizing our APIs and webhooks, you ("Customer", "School", or "User") agree to be bound by these Terms of Service.

If you are accepting these Terms on behalf of an educational institution, online language academy, tutoring center, or school district, you represent and warrant that you possess full statutory and institutional authority to bind that entity and authorize ingestion of Zoom Cloud session metadata on behalf of participating instructors.

2. Permitted SaaS Use & Scope of License

ClassMind AI grants Customer a non-exclusive, non-transferable, revocable worldwide license during the subscription term to connect instructor-authorized Zoom Cloud recordings, generate automated student report cards, compute speech-to-talk (STT/TTT) ratios, extract CEFR vocabulary/grammar corrections, and synchronize educational metadata with connected school channels.

Customer IP Ownership: Customer retains 100% full intellectual property ownership over all session audio, lesson materials, student assignments, and customized pedagogical curricula. ClassMind AI claims zero proprietary interest in Customer Content.
Authorized Recording & Consent: Customer certifies that all recorded sessions adhere to local recording consent laws and that instructors and learners have received statutory notification prior to session recording.
Restrictions: Customer shall not reverse engineer, decompile, resell, white-label without authorization, or utilize ClassMind AI endpoints to process content obtained without lawful participant consent.

3. Zoom API & Marketplace Integration Boundaries

ClassMind AI operates in strict compliance with Zoom Video Communications, Inc. Developer Terms and Marketplace Guidelines via official OAuth 2.0 and Webhook mechanisms.

Minimal Scopes: ClassMind AI requests only the minimal scopes strictly necessary for automated lesson reporting: recording:read:recording:admin (to download the audio track of completed cloud recordings), recording:read:list_user_recordings:admin (to access recording metadata for processing), and user:read:email:admin (to map instructor identities to school rosters).
Ephemeral Processing: Audio tracks (.m4a) are strictly prioritized; video tracks (.mp4) are accepted exclusively as an ephemeral fallback solely to extract audio when no audio-only track is available. All media files are permanently purged immediately following speech-to-text transcription (Zero Media Retention, 0 days).
Deauthorization & Data Erasure: Institutional administrators may revoke ClassMind AI at any time via the Zoom App Marketplace > Manage > Installed Apps dashboard. Upon receiving the app_deauthorized webhook, all access tokens and active ingestion pipelines are permanently expunged within 24 hours.

4. AI Processing Disclaimer & Advisory Pedagogical Role

ClassMind AI delivers automated educational analytics, structured lesson summaries, vocabulary glossaries, and CEFR/CELTA error corrections as advisory coaching tools.

⚠️ Human Educator Review Requirement:

ClassMind AI outputs are designed to augment and empower professional educators. They must not serve as the sole automated determinant for formal student disciplinary actions, certified academic grading, or teacher employment evaluations without qualified human educator oversight.

5. Service Availability, Uptime & Modifications

ClassMind AI targets 99.9% scheduled monthly uptime for cloud webhook ingestion and report dispatch pipelines. We reserve the right to deploy security enhancements, bug fixes, and performance updates with zero downtime.

6. Limitation of Liability & Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLASSMIND AI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM SERVICE USAGE. CLASSMIND AI'S AGGREGATE CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE PRECEDING TWELVE (12) MONTHS.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the applicable commercial jurisdiction, without regard to conflict of law principles. Any legal notices or inquiries may be directed to support@classmind.pp.ua or privacy@classmind.pp.ua.
